For SBA 7(a) lenders
SBA business valuation, prepared for the lender
Under SOP 50 10 8.1, the business valuation is the core of a change-of-ownership loan: it supports the price, caps the debt and goes in the credit file. OKtoLend's valuation is built to meet Appendix 15 from the order onward.
What the report covers
- Your scope. Asset or stock purchase, the assets and liabilities included, any debt assumed, and whether real estate is excluded from the Business Purchase Price.
- Verified inputs. Seller tax returns, financial statements and interim figures reconciled to each other, with the data you need to verify against the seller's IRS transcripts.
- Normalized earnings. Each adjustment listed with the evidence for it, so your DSC analysis and the valuation start from the same numbers.
- Conclusion of value. Compared against the Business Purchase Price, with the approaches used and why.
- Qualifications and certification. Reports will be signed by a credentialed valuation analyst (ASA, ABV or CVA) who regularly receives compensation for business valuations, with their qualifications in the report.
How an order runs
- You send the deal and scope. The engagement is with your institution.
- We run a conflict check and confirm independence in writing.
- The borrower or seller uploads documents through a request list we send.
- Software reconciles and drafts; the analyst reviews, concludes and signs.
- You receive the report, and we answer follow-up questions from your reviewers or SBA.
